SOC’s role is limited to arranging, negotiating, or placing an applicant’s documentation and/or information with third-party lenders (including California licensed lenders and other commercial finance providers) and, where applicable, government or grant programs that will determine the applicant’s status and make all credit decisions.

All approvals, loan terms, and funding decisions are made solely by third-party lenders or funding sources and are subject to their underwriting guidelines, eligibility criteria, and documentation requirements. SOC does not issue credit decisions, does not guarantee approval, and does not guarantee any specific loan terms, amounts, or interest rates.

Applicant and/or client agrees to hold SOC harmless from any omission, act, or liability arising from:

• Any funding decision made by a lender or funding source;
• Any lender’s failure or refusal to fund all or part of a requested amount;
• Any disputes concerning money due, lender searches, or the availability or quality of financing;
• Attorney’s fees, liens, security interests, encumbrances, court costs, court reporter expenses, collection costs, and long-distance communication costs;
• Expenses relating to travel, lodging, food, or other costs associated with evaluating or fulfilling financing requests; and
• Any inability of SOC to place the applicant’s documents and/or information or to obtain accounts receivable, purchase order, or other financing with any lender.

Except as otherwise defined in any written Professional Service Agreement or related agreements (“Other Agreements”), terms relating to secured transactions shall have the meanings provided by the applicable Uniform Commercial Code. Where applicable, client grants SOC the right, to the extent permitted by a fully executed Professional Service Agreement, to file UCC-1 financing statements with the appropriate Secretary of State and/or county offices to secure its rights, and to add attachments, update, amend, or continue such filings without additional notice to client, as allowed by law and by contract.

Client acknowledges and agrees that a Professional Service Agreement or similar written agreement must be signed before SOC proceeds with any lender searches, information placement, or advisory services.

User Submissions

Any material, information, or other communication you transmit or post to this Site (“Communications”) will be considered non-confidential and non-proprietary. Source One Capital will have no obligations with respect to such Communications. Source One Capital and its designees will be free to copy, disclose, distribute, incorporate, and otherwise use the Communications and all data, images, sounds, text, and other things embodied therein for any and all commercial or non-commercial purposes.

You are prohibited from posting or transmitting to or from this Site any unlawful, threatening, libelous, defamatory, obscene, pornographic, or other material that would violate any law.

Governing Law; Jurisdiction

Agents and Third-Party Purchases
